Led by partners Silvestre Tandeau de Marsac and Marc Henry, the Banking & Finance Department comprises a dedicated team of five lawyers.

The team’s expertise is built upon the complementary skills of each member, addressing the full spectrum of regulatory and legal challenges encountered by stakeholders in the banking and finance sectors, as well as other regulated professions.

FTMS Banking & Finance Department specialises in the following areas:

• Approval requests, extension or withdrawal of approval, oversight of national and cross-border mergers/acquisitions, and dialogue with regulatory authorities: FTMS offers strategic advice to clients on how to structure and develop their operations.
• Assistance during inspections and investigations by regulatory authorities (financial markets authorities, prudential control and resolution authorities, European authorities).
• Representation in proceedings before administrative authorities’ sanctions committees, particularly regarding breaches of:
  • Banking and financial regulations and obligations of regulated entities, including licensing, internal controls, anti-money laundering and counter-terrorism financing measures, governance standards, disclosure requirements, duty of care, and disciplinary breaches;
  • Stock market regulations, especially in response to allegations of insider trading, market manipulation, and/or dissemination of false or misleading information.
• Distribution, whether within France or cross-border, of banking, financial and insurance products and services, as well as distribution agreements.
• International trade finance: drafting and executing letters of credit, documentary credits, and bank guarantees.
• International economic sanctions: FTMS assists its clients in addressing and resolving any challenges they may encounter in implementing international economic sanctions.
• Resolving complex domestic and international disputes before national courts, arbitral tribunals or mediators (breach of contract, B-to-B disputes, liability claims, class actions).
